Terms of Service
Effective 1 January 2026
1. Acceptance of Terms
By accessing or using the Ringo Market platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and Maxisoft Ltd.
Maxisoft Ltd reserves the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
2. Platform Description
Ringo Market is a marketplace platform that connects independent freelance callers ("Callers" or "Contractors") with brands and advertisers ("Advertisers"). The Platform provides Callers with the opportunity to select phone sales campaigns and make calls through a browser-based calling interface.
Ringo Market acts as an intermediary and is not the employer of either party. Callers operate as independent contractors and are solely responsible for their own tax obligations and statutory duties.
3. User Accounts
Use of the Platform requires registration. By registering, you agree to provide truthful and accurate information and to keep it up to date. You are responsible for the security of your account, including safeguarding your password.
Ringo Market reserves the right to reject a registration or close a user account if these Terms are violated or if the information provided is found to be inaccurate.
4. Caller Obligations
Callers agree to the following obligations:
- Independent Contractor Status: Callers must operate as independent contractors and are solely responsible for their own taxes, insurance, and statutory obligations.
- Legal Compliance: Callers must comply with all applicable telemarketing laws, including the obligation to disclose commercial intent at the start of every call, identify themselves, and name the company they represent.
- Training Completion: Callers must complete all mandatory compliance training before beginning calls and campaign-specific training before starting each campaign.
- Honest Sales Practices: Callers must not provide misleading information about products or services, use pressure tactics, or fabricate sales.
- Calling Hours: Callers must respect campaign-specific calling hours.
- Do-Not-Call Lists: Callers must not contact individuals listed on applicable do-not-call registries. The Platform performs automated checks.
5. Advertiser Obligations
Advertisers agree to the following obligations:
- Do-Not-Call Compliance: Advertisers are responsible for ensuring that uploaded call lists have been checked against applicable do-not-call registries. Ringo Market performs an additional automated check.
- Accurate Product Information: Advertisers must provide truthful and up-to-date information about the products and services being sold, including pricing and terms.
- Commission Payments: Advertisers agree to pay the agreed commissions for confirmed sales as well as the platform fee to Ringo Market.
- Legal Data Collection: Advertisers are responsible for ensuring that personal data in call lists has been collected lawfully and has a valid legal basis for processing.
6. Commissions & Payments
- Commission Release: A commission becomes available to the Caller once the consumer has provided written confirmation and the statutory cooling-off period has expired without cancellation.
- Payment Schedule: Accumulated commissions are paid monthly on the 1st of each month for the previous period's confirmed and cleared sales.
- Minimum Payout: Payouts are processed when the accumulated commission exceeds 100 EUR. Amounts below this threshold carry over to the next payout cycle.
- Cancelled Sales: If a consumer cancels within the cooling-off period, no commission is paid. If a commission has already been paid, it is deducted from the next payout.
7. Platform Fee
A monthly platform fee of 75 EUR is charged to Callers for use of the Platform. This fee is automatically deducted from accumulated commissions before payout. The platform fee is not charged for months in which the Caller has not performed any calling activity on the Platform.
8. Cancellations & Chargebacks
If a consumer cancels an order within the statutory cooling-off period, no commission is payable. If a previously paid commission is reversed (chargeback), the corresponding amount is deducted from the Caller's future commissions.
If an Advertiser disputes or cancels a sale for other reasons, the Platform will attempt to resolve the matter with the Advertiser. However, the Platform is not liable for an Advertiser's unwillingness or inability to pay.
9. Non-Circumvention
Users agree not to circumvent the Platform. This means users must not:
- Contact Advertisers found through the Platform to offer similar services outside the Platform
- Redirect leads or customers obtained through the Platform to external channels
- Use contact information, materials, or trade secrets obtained through the Platform for competing activities
The non-circumvention obligation remains in effect during the contractual relationship and for 12 months after termination. A penalty of 5,000 EUR per violation may be imposed.
10. Intellectual Property
The Ringo Market platform, its content, design, code, and trademarks are the property of Maxisoft Ltd. Users may not copy, modify, or distribute the Platform's content without written permission. Campaign materials and call lists uploaded by Advertisers remain the property of the respective Advertiser.
11. Data Ownership
All lead data, customer data, and call recordings processed through the Platform are the property of the Platform and/or the Advertiser. Callers have no right to retain, copy, or use this data outside the Platform or after termination of their agreement.
12. Misconduct
The following are considered misconduct and may result in immediate account suspension and withholding of commissions pending investigation:
- Fabricating sales or manipulating sales data
- Pressuring, misleading, or using aggressive sales tactics on consumers
- Bypassing do-not-call lists
- Calling outside campaign-specific calling hours
- Technical manipulation of the Platform or compromising security
- Using another user's account or sharing account credentials
- Repeated customer complaints
13. Account Termination
Ringo Market reserves the right to suspend or terminate a user account immediately in the following circumstances:
- Violation of these Terms of Service
- Misleading or unlawful sales activity
- Fabricated sales data or fraud
- Repeated customer complaints
- Intentional calling of do-not-call listed individuals
- Any activity that damages the reputation of Ringo Market or its users
Callers may close their account at any time. Upon account closure, any outstanding confirmed commissions will be paid according to the normal payout schedule.
14. Limitation of Liability
- Ringo Market operates as a marketplace platform and is not the employer of Callers. The Platform is not liable for the actions or omissions of individual Callers.
- The Platform is provided "as is" without warranty of uninterrupted operation. Scheduled maintenance will be announced in advance where possible.
- The Platform is not liable for the operation or availability of third-party services (Twilio, payment processors, etc.).
- The Platform's total liability is in all cases limited to the total amount of commissions paid to the affected user in the preceding 3 months.
15. Anti-Poaching
Users agree not to recruit or solicit other Platform Callers to move to a competing platform or directly into an Advertiser's employ. This restriction remains in effect during the contractual relationship and for 12 months after termination.
16. Contract Modifications
Ringo Market reserves the right to modify these Terms. Users will be notified of material changes at least 30 days before they take effect, via email or through the Platform. Continued use of the Platform after the changes take effect constitutes acceptance of the modified Terms.
17. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus. Any disputes arising from or in connection with these Terms shall first be attempted to be resolved through negotiation. If a negotiated resolution is not possible, disputes shall be resolved by the courts of Larnaca, Cyprus.
